Job Purpose

Design and implement effective short-term and long-term investment and feasible fund mobilization strategies to support Ducab Group Companiesā€™ business plans in product diversification, geographical expansion, backward/forward integration, and organic/ inorganic growth in coordination with CFO and Investment Committee (IC)

Main Accountabilities Of The Job

1. Management

  • Identify and/or review investment opportunities including acquisitions, joint ventures, divestitures, internal expansion and other CAPEX, ensuring any opportunity reviewed is in line with Ducabā€™s strategic objectives.
  • Oversees M&A Project management processes including due diligence, financial planning, scoping, closing and integration.
  • Review/update and recommend to the Investment Committee/Board for its approval an overall capital allocation policy and implementation model for the Companyā€™s investment strategy, taking into account relevant factors
  • Ensure efficiency in fund management and optimization for operational, project and capital investments in close coordination with Investment Committee (IC).
  • Review and recommend optimal capital structure to the Investment Committee and the Board.
  • Design Investment plans according to the agreed capital structure.
  • Secure appropriate debt financing for long term projects to support inorganic growth.
  • Reinforce a performance culture and actively manage and develop team members to ensure business sustainability
  • Encourage innovation and drive change management initiatives

2.Policies, Processes and Controls

  • Develop, recommend, and implement, when approved, policies and guidelines for investment opportunities on par with international standards in line with Investment Committee (IC) Charter
  • Develop Internal team representing members from multiple functions (Investment working group) and design process flow to review and/or conduct initial feasibility in evaluating any investment opportunity.
  • Develop formal structure including periodic meetings of Investment working group to discuss and monitor progress in line with Investment charter.
  • Document discussions and minutes of the meetings including with Investment committee and Investment working group.
  • Develop Integration plans and methodology post acquisition and/or Merger.

3.Project Finance and Budgets

  • Manage all asset and project financing requirement (in association with corporate finance and group treasury) in accordance with the approved Group Business Plan. This includes structuring and negotiating terms with the lenders and reviewing of financing documents, as necessary, for final closing.

4.Portfolio Management

  • Manage the identification, prioritization, and effective control of DUCABā€™s investment plans and projects, in line with its strategic objectives. Ensure appropriate balance or correct mix of investments in the implementation of new initiatives while maintaining the business-as-usual to optimize the return on investment (ROI).

5.Business Development

  • Provide new business ideas, initiatives, and activities focusing on improving the Company business, increasing revenues, growth in terms of vertical and horizontal business expansion, increasing profitability by building strategic partnerships, and advise Management to make strategic business decisions.

6.Risk Management

  • Support the implementation of the Ducab Groupā€™s risk management system to identify and assess relevant operational and financial risks and recommend measures to manage and to mitigate identified risks associated with project investment decisions

7.Investment Decisions

  • Coordinate with Investment Committee to ensure smooth execution of the investment transactions and resolve any issues that may arise.
  • Liaise with external and internal parties to resolve any outstanding issue that disrupt the workflow of investment transactions
  • Advise on maintaining sustainable Return on Capital Employed (ROCE) / Return on Investment Capital (ROIC) depending on the nature of investment.

8.Research and Advise

  • Develop investment analysis and research capabilities by continuously researching the global financial market and participating in relevant webinars and seminars.
  • Advise on Maximising the Groups EBITDA percentage by identifying more profitable ventures / Opportunities
  • Lead finance market study/analysis with the support of specialist consultants, developing project feasibility models and performing Sensitivity Analysis in association with corporate finance teams.
  • Assist the CFO and Investment Committee in evaluation of new investments opportunities/proposals
  • Lead financial due diligence and co-ordinate with other teams for all M&A due diligence exercise.
  • Prepare and present the efficient financial investment plans and any subsequent revisions thereto in line with Group business goals, for Investment Committee Approval.

9.Reports

  • Prepare accurate reports on Group financial performance, key risks and challenges, investment portfolio, project funding updates etc.
  • Initiate and coordinate enhancements to SAP to ensure timely and accurate reporting of investment information and reports

Minimum specifications for the Job

Essential :Ā Degree in Financial planning qualification e.g. , Chartered Financial Analyst (CFA). Or Masters in Finance.

DesirableĀ : CFA is preferred

Ā· Be able to demonstrate a track record of managing large Corporate investments

Ā·Ā Advanced Financial portfolio management

Ā·Ā Proficient in Credit Risk Analysis

Experience:Ā 8 to 10 years of professional experience with at least 5 years in a relevant functional management role including experience of working in an ERP environment such as SAP
